US maritime group Tidewater buys Brazilian counterpart for US$500 million

Three Skadden, Arps, Slate, Meagher & Flom LLP offices, Brazil’s Machado Meyer Advogados and Uruguay’s Posadas have helped US-based offshore marine services company Tidewater acquire the towage operations of Brazilian counterpart Wilson Sons for US$500 million.

Brazil’s Demarest Advogados advised the target companies – Wilson Sons Ultratug and its affiliate Atlantic Offshore Services.  

Latin Lawyer understands that international firm Slaughter & May also advised Wilson Sons’ subsidiaries but could not confirm this before publishing. 

The transaction was announced on 23 February. 

There has been steady cross-border activity in Brazil’s offshore oil and maritime sectors lately. Also this month, Brazil’s Mattos Filho advised Cayman Islands-based Eight Offshore Investments Holdings on the sale of its stake in a Namibian offshore oil block to Brazil’s Petrobras and France’s energy company TotalEnergies. That came a month after international firm Ropes & Gray and BMA Advogados in São Paulo helped US investor Stonepeak acquire a 25% stake in a vehicle created with French shipping giant CMA CGM to develop a portfolio of port terminals around the world, including Latin America.
